竞买规则及须知Bidding Rules and Notes

本公司受委托：为切实保障拍卖当事人的权利和义务，根据《中华人民共和国拍卖法》《中华人民共和国企业国有资产法》《中华人民共和国电子商务法》等法律法规，本着公开、公平、公正、诚实信用的原则，特制定本须知及规则，共同遵守。

1.本次网络竞价活动在公开、平等竞争的条件下进行，一切活动都具备法律效力。

1. This online bidding activity is conducted under conditions of openness and fair competition, and all activities are legally binding.

2.竞买人条件：具备完全民事行为能力的企业法人或自然人。

2. Bidder requirements: A corporate entity or individual with full civil capacity.

3.意向竞买人应于2026年1月4日9:00前（以到账时间为准）竞买保证金2.5万元（人民币）（以汇款当日NEPAL RASTRA BANK（https://www.nrb.org.np/forex）公布汇率为准）支付交易保证金到指定的银行账户。取得有效的《保证金汇款凭证》。

保证金和成交价款只限于尼泊尔卢比。

3. Interested bidders must pay the transaction deposit of 25,000 RMB (calculated at NEPAL RASTRA BANK's published exchange rate on the remittance date) to the designated bank account by 9:00 AM on January 4, 2026 (based on the actual payment receipt time). A valid "Deposit Remittance Certificate" must be obtained.

The deposit and the price of the transaction are only in Nepali rupees.

4.意向竞买人在2026年1月4日9:00时前完成：账号注册；上传真实有效的资质文件、《保证金汇款凭证》《现场踏勘确认书》和《竞买文件》获得竞买资格。

4. Interested bidders must complete the following by 9:00 AM on January 4, 2026: account registration; submission of valid qualification documents, including the "Deposit Remittance Receipt", "On-site Inspection Confirmation", and "Bid Document" to obtain bidding eligibility.

5.拍卖成交后，买受人缴纳的2.5万元（人民币）竞买保证金，自动转为提取保证金，提取保证金在买受人按照《实物资产交易合同》约定提取完标的后10个工作日退还。（以汇款当日NEPAL RASTRA BANK（https://www.nrb.org.np/forex）公布汇率为准）。

5. Upon successful auction, the RMB 25,000 bid bond paid by the buyer will automatically be converted into a withdrawal bond. The withdrawal bond will be refunded within 10 working days after the buyer completes the withdrawal of the subject property in accordance with the Physical Asset Transaction Contract (calculated at NEPAL RASTRA BANK's published exchange rate on the remittance date).

6.买受人须于拍卖成交后5个工作日内签署《拍卖笔录》《成交确认书》，并在签订成交确认书之日起5个工作日内与转让方签订《实物资产交易合同》，在合同生效之日起5个工作日内将全部成交价款汇入指定账户（以汇款当日NEPAL RASTRA BANK（https://www.nrb.org.np/forex）公布汇率为准）及拍拍在线（北京）拍卖有限公司服务费一次性支付至指定账户（以汇款当日NEPAL RASTRA BANK（https://www.nrb.org.np/forex）公布汇率为准）。 因买受人原因未在规定时限内签订交易合同或未在规定时限内全额交纳交易价款的，除扣除交易保证金外，转让方有权单方面解除合同和终结交易，并将标的另行处置。

6. The buyer shall sign the "Auction Record" and "Confirmation of Sale" within 5 working days after the auction is concluded. Within 5 working days after signing the confirmation, the buyer shall execute the "Physical Asset Transaction Contract" with the seller. Within 5 working days after the contract takes effect, the buyer shall remit the full transaction price to the designated account (calculated at NEPAL RASTRA BANK's published exchange rate on the remittance date) and pay the service fee to Paipai Online (Beijing) Auction Co., Ltd. in a lump sum to the designated account (calculated at NEPAL RASTRA BANK's published exchange rate on the remittance date). If the buyer fails to execute the transaction contract or pay the full transaction price within the stipulated time limit due to the buyer's reasons, the seller shall have the right to unilaterally terminate the contract and conclude the transaction, and dispose of the subject matter separately, in addition to deducting the transaction deposit.

7.自资产交易合同生效之日起10个工作日内，买受人须赴标的现场与转让方进行标的移交，并在现场与转让方办理相关移交手续（签订实物资产移交确认书，签订即视为移交完成），逾期则一切责任和后果由买受人自行承担。在移交工作完成之日起30个工作日内由买受人自行完成标的拆解、搬迁、运输。标的移交过程中及标的移交后产生的一切责任、费用及风险（含标的资产拆解、搬迁、运输、保养、保管、安全、保卫、消防、环保、现场管理、损毁、灭失）均由买受人自行承担，转让方及拍拍在线不承担任何相关责任。标的移交过程中，买受人不得以任何理由损坏、破坏、搬离、拆卸除标的以外的任何设施、设备等，如造成损失的，由受让方自行负责。

7. Within 10 working days from the effective date of the asset transaction contract, the buyer shall proceed to the site to conduct the physical handover with the transferor and complete relevant procedures (including signing the Physical Asset Handover Confirmation Agreement, which shall be deemed completed upon execution). Failure to comply shall result in the buyer assuming all liabilities and consequences. The buyer shall independently complete the disassembly, relocation, and transportation of the assets within 30 working days after the handover is completed. All liabilities, costs, and risks arising during and after the handover (including but not limited to asset disassembly, relocation, transportation, maintenance, storage, security, fire protection, environmental compliance, site management, damage, or loss) shall be borne solely by the buyer. Neither the transferor nor Paipai Online shall be held liable for any such matters. During the handover process, the buyer shall not damage, destroy, remove, or dismantle any facilities or equipment other than the assets under transfer. Any resulting losses shall be the sole responsibility of the buyer.

8.竞价过程中，竞买人要认真严肃地进行报价并为自己的报价行为支付相应的法律责任。

8. During the bidding process, bidders must submit their bids with due diligence and assume full legal responsibility for their actions.

9.出价活动分为两个竞价期，即自由竞价期和限时竞价期。

9. The bidding process consists of two phases: the open bidding phase and the time-limited bidding phase.

（1）自由竞价期：自由竞价期自2026年1月4日13时30分整至2026年1月4日14时00分整。在此期间，竞买人按照规定的加价规则进行有效报价。

(1) Open bidding period: The open bidding period runs from 13:30 to 14:00 on January 4, 2026. During this time, bidders must submit valid bids in accordance with the specified bidding rules.

（2）限时竞价期：自由竞价期结束后进入限时竞价期。限时竞价期由多个限时竞价周期组成，每个限时竞价周期为3分钟（即180秒）。限时竞价周期内如出现新的有效报价，则进入新的限时竞价周期；在一个限时竞价周期内如未出现新的有效报价，则拍卖会结束。当前最高出价的竞买人成为本项目的买受人。

(2) Time-Limited Bidding Phase: The process commences after the Free Bidding Phase concludes. This phase consists of multiple 3-minute (180-second) time-limited bidding cycles. A new cycle begins if a valid bid is submitted during any cycle, while the auction terminates if no valid bid is received. The highest bidder at the end of each cycle becomes the successful purchaser of the project.

10.买受人作违约处置的，其所交保证金全部扣除，标的资产收回再行处置，按《中华人民共和国拍卖法》等有关规定承担赔偿责任（包括但不限于该标的最终成交价款与本次竞价成交价格之间的差价及因此产生的相关费用，转让方有权从买受人的履约保证金中直接扣除）。

10. In the event of the buyer's default, the full amount of the security deposit shall be deducted, and the subject asset shall be recovered and disposed of. The buyer shall be liable for compensation in accordance with the Auction Law of the People's Republic of China and other relevant regulations (including but not limited to the difference between the final transaction price of the subject asset and the bid price of this auction, as well as any related costs incurred. The transferor has the right to directly deduct such amounts from the buyer's performance bond).

11.交易服务费按成交价的5%支付，买受人通过自身账户支付至拍拍在线（北京）拍卖有限公司指定账户。（以汇款当日NEPAL RASTRA BANK（https://www.nrb.org.np/forex）公布汇率为准）

11. The transaction service fee is 5% of the transaction price, payable by the buyer through their own account to the designated account of Paipai Online (Beijing) Auction Co., Ltd. (calculated at NEPAL RASTRA BANK's published exchange rate on the remittance date)

12.国外设备，买受人为境外买家自行缴纳相关税费，不需要向资产占有方补缴增值税。资产占有方向受让方开具相关税费凭证及票据。

12. For imported equipment, the overseas buyer shall independently pay all applicable taxes and fees, without requiring the asset holder to make any VAT supplementary payments. The asset holder shall issue relevant tax payment certificates and invoices to the transferee.

13.转让方有权在竞价开始前依法撤回标的资产，若因转让方撤拍或遇不可抗拒的因素和其他特殊的重要原因，转让方有权取消或推迟本次网络竞价活动，由此对竞买人造成的损失由竞买人自负，竞买人不得向转让方追索保证金利息及其他任何费用与责任。

13. The Transferor reserves the right to withdraw the subject assets in accordance with the law prior to the commencement of the bidding process. In the event of the Transferor's withdrawal from the auction or due to force majeure or other significant exceptional circumstances, the Transferor may cancel or postpone the online bidding activity. Any losses incurred by the Bidders as a result shall be borne solely by the Bidders, who shall not be entitled to claim interest on the deposit or any other fees or liabilities from the Transferor.

14.网络拍卖会过程中所涉及的时间，以拍拍在线平台系统服务器时间为准。因不可抗力、软硬件故障、非法入侵、恶意攻击等原因而导致拍拍在线平台系统异常、竞价活动中断的，拍拍在线（北京）拍卖有限公司等竞价组织方不承担任何责任。拍卖公司将视情况组织继续报价或重新报价，并通知各竞买人。如当日无法重新启动拍卖，拍卖公司择期另行举行网络拍卖会。继续报价或重新报价的方式如下：报价记录可以恢复的，以中断时的最高有效报价为起始价继续报价；报价记录无法恢复的，以起拍价为起始价重新报价。继续报价或重新报价时将从自由竞价期开始。

14. The duration of the online auction shall be determined by the server time of the Paipai Online platform system. Paipai Online (Beijing) Auction Co., Ltd. and other auction organizers shall not be liable for any system anomalies or interruptions in the bidding process caused by force majeure, software/hardware failures, unauthorized access, or malicious attacks. The auction company may organize continued or re-bidding sessions as appropriate, notifying all bidders. If the auction cannot resume on the same day, a new online auction will be scheduled at a later date. The methods for continued or re-bidding are as follows: If bid records are recoverable, the highest valid bid at the interruption time shall serve as the starting bid; if records are unrecoverable, the starting bid shall be used as the starting point. Continued or re-bidding shall commence from the free bidding period.

15.本规则未尽事宜，按照《中华人民共和国拍卖法》等相关法律法规办理。本项目披露信息以中文和英文公布，如出现分歧，以中文为法律依据。

15. Matters not covered herein shall be governed by the Auction Law of the People's Republic of China and other relevant laws and regulations. The project information shall be published in both Chinese and English, and in case of any discrepancy, the Chinese version shall prevail as the legal basis.
